(Bloomberg) dated October 1, 2004, All capitalized terms used herein which are defined in the Agreement shall have the same meaning as in the Agreement. INTRODUCTION 1. STATEMENT OF PROPRIETARY INFORMATION AND CONFIDENTIALITY This document contains confidential information of both parties and shall be considered Confidential Information as defined in the NDA, as defined in the Agreement. 2. INTENT This SOW has been developed using information and specifications that have been conveyed to Autonomys Professional Services by Bloomberg employees. Bloombergs professional and business needs may change over time. Only Bloomberg will determine whether or not the Autonomy solution proposed herein meets their business needs. Autonomy Professional Services will work with Bloomberg to help Bloomberg with the solution described herein. 3. INTELLECTUAL PROPERTY AND GENERAL TERMS a. Proprietary Rights. Pursuant to the Agreement, the parties have agreed that Bloomberg shall own all Bloomberg Property. Autonomy shall own all Pre-Existing Rights of Service Provider and all Generalized Tools, subject to Bloombergs license thereto. In addition, Autonomy shall retain ownership of all standard, commercial off-the-shelf software which is perpetually licensed to Bloomberg pursuant to the license agreement executed between the parties (the License Agreement) prior to the SOW (Commercial Software). Notwithstanding anything to the contrary in the License Agreement: (i) permitted and licensed use of the Commercial Software shall include use in conjunction with the services described herein this SOW (the Solution); (ii) development work, maintenance or support performed by Bloomberg with respect to the the Solution, shall not be deemed to constitute prohibited reverse engineering, decompilation, modification, translation or disassembly of the Commercial Software pursuant to Section 2.2 of the License Agreement; and (iii) Autonomy hereby disclaims ownership of any intellectual property rights in or to any derivative work that may be deemed to result from inclusion of the Commercial Software as part of the Solution. b. Work for Hire. Subject to section A(3)(a) above: All ideas, inventions, discoveries, creations, improvements, concepts, developments, methods, tools, know-how, trade secrets, works of authorship, documentation, templates, processes, techniques, data, programs, reports, information, materials, designs, drawings, specifications, plans and other documents of any kind whatsoever prepared or created by Autonomy pursuant to or resulting from the Services shall be the sole property of and belong to Bloomberg and shall be deemed to be part of the Solution. All right, title and interest in and to the Solution, including all intellectual property rights therein, shall be deemed works for hire (as that term is defined in 101 of the 1976 Copyright Act) and shall reside with Bloomberg without further employment of, or payment of additional compensation to Autonomy or any of its personnel. To the extent that the Solution is determined, by a court of competent jurisdiction, the Register of Copyrights or otherwise, not to be work made for hire, Autonomy shall be deemed hereby to have assigned to Bloomberg all its right, title and interest, including without limitation all copyrights or other intellectual property, to such Solution. Autonomy shall ensure that its personnel shall cooperate with the foregoing provisions. In the event of a conflict with respect to intellectual property provisions set forth herein and in the License Agreement, this SOW shall govern. c. Indemnity. Autonomys obligation to defend Bloomberg, in connection with any indemnification obligations or provisions in the Agreement, shall be subject to Bloombergs right to participate in such defense with its own counsel at its own expense and its right to approve any settlement. d. Liability limitation. The parties agree that the last sentence of Section 12 of the Agreement is amended to state the following: The aforementioned liability limitation shall not, however, apply to any indemnification obligations set forth in this agreement, either partys breach of Section 7 (Confidential Information), any damages due to gross negligence, willful misconduct or relating to bodily injury and direct damages to tangible property. e. Infringement. If any deliverable or other item provided to Bloomberg as part of this SOW becomes subject to a third party claim of intellectual property infringement or violation of a proprietary right, Autonomy shall promptly, and at its own expense: (i) procure for Bloomberg the right to continue using such deliverable; (ii) modify the applicable portion of the deliverable so that is no longer infringing or in violation; (iii) replace such portion with a functionally equivalent replacement which is not infringing or in violation; or (iv)promptly refund all fees paid pursuant to this SOW. f. Amendments. Autonomy acknowledges that Bloombergs general personnel are not authorized to amend or supercede the Agreement or this SOW pursuant to, or to bind Bloomberg to obligations or liabilities contained in, shrink wrap or other click acceptance type agreements, and only authorized signatories are empowered to so amend or supercede, or to so bind, Bloomberg, pursuant to executed hardcopy instruments. g. Custom Work. Any custom services performed hereunder for Bloomberg shall not be performed so as to create modifications to the Commercial Software. h. Termination Rights. Notwithstanding anything to the contrary in the Agreement, Bloomberg may terminate this SOW for any reason upon 5 business days notice to Autonomy. Bloomberg shall only be liable to Autonomy for fees and expenses up to the last day of services provided to Bloomberg after notice of termination. Autonomy may only terminate this SOW for cause upon 10 business days notice, or with written approval from Bloomberg. i. Survival. Sections A(3) and C(5)) of this SOW shall survive any termination of the Agreement or this SOW, and shall continue in full force and effect. B. ENGAGEMENT OVERVIEW Engagement Objective To deliver a new solution for Bloomberg Message Search that is easy to scale and administer and provides fast search over a Bloomberg messages, as well as some new functional enhancements, such as personal user folders. Engagement Timeline The engagement is divided into four self-contained phases over five to six months. Each phase except the initial Design Phase produces production ready deliverables, and therefore includes design and code reviews, and functional, performance, and scaling testing. See Task 1.2 for a more detailed explanation. Message Classifier classifies incoming messages as a one or more message types. For this engagement the number of message types is limited to not more than fifteen (15). Message Dispatcher detects the sender and all receivers on each incoming messages and dispatches a normalized copy of the message to the appropriate indexing and profiling mechanisms serving the sender and each receiver Message Indexer indexes the incoming messages into specific user collection stores, optimized for sporadic bursts of incoming messages in near real time. Message Profiler profiles incoming messages for a variety of purposes, such as to: Classify incoming messages under one or more (up t to five) user defined folders Facilitate filtered search against these folders Filter incoming messages displaying only those messages under select folders Automatically notify the user when an incoming message hits his select folders Production Scale Backend the application backend stores, mechanisms, and process necessary to meet anticipated production scale. This will include one collection and profile net per user (currently 200,000 users) and the corpus of messages currently is 10-12 million per day (65 gig per day) accumulating to approximately 1000 million messages (6,500 gig) per fiscal quarter, 4,000 million messages per year, 20,000 million messages over 5 years, depending on the history maintained. FURTHER SPECIFICATIONS 1. -Scope Management: As with any time and material effort, Autonomy Professional Services can accommodate changes during the described consulting engagement to resolve issues, on a time and material basis that were not apparent at the time this document was completed. However, during this engagement the Autonomy Professional Services Engagement Manager will discuss potential changes with Bloombergs technical leads to determine any impact to time allocation and scheduling requirements provided that Autonomy shall perform all necessary work to complete any services required in connection with the changes at no additional cost or expense to Bloomberg, unless such change is a Major SOW Change by Bloomberg. Therefore, any scope changes, except for a Major SOW Change by Bloomberg, shall be handled and performed by Autonomy within the allowed total cost represented below in this SOW. A Major SOW Change shall mean a substantial change in scope or Deliverables from those set forth or generally contemplated in this SOW as of the date hereof. . The Autonomy Professional Services Engagement Manager will be notified by the client of any resourcing requirements and the Autonomy Professional Services Engagement Manager will determine how to best accomplish the request within an acceptable time frame. 2. Requirements The following is a list of requirements that Bloomberg must meet prior to engaging Autonomy Professional Services: Provide a primary point of contact with a deep understanding of the system requirements. Provide desk space for Autonomy personnel while on site at Bloomberg Provide access to System Administration assistance for any hardware or database issues. Provide workstation for the Autonomy Consultant with connectivity to the machine(s) hosting Autonomy Implementation. 3. Autonomy Engagement Manager Participation To assure the success of this project a Autonomy Engagement Manager will be responsible to gather required information to ensure the proper completion of this SOW, monitor payment procedures, the engagements progress, accomplishments, deliverables, and provide status to designated contacts, as needed. This person will also meet with Bloomberg as requested to discuss scope change, escalations, or other project related issues. At the end of this SOW the engagement manager will (a) review the SOW deliverables with the client and (b) advise the client that the services have been completed (the Completion). At Completion, in a closing statement/e-mail, the engagement manager will deliver the final versions of any documents stated to be deliverables in the SOW, with a project feedback form for completionby the client. 5. Warranty and Miscellaneous Autonomy warrants that the Services and the deliverables hereunder will be free from defects in materials and workmanship and will operate in accordance with this SOW and confirm to all applicable specifications for a period commencing upon acceptance thereof and ending six (6) months after the date of completion of all Services and deliverables by Autonomy (the Warranty Period). During the Warranty Period, Autonomy shall promptly, and at its own expense: (i) re-perform any of the Services, (ii) repair, replace, or modify any of the Deliverables or, if the foregoing items (i) and (ii) are not commercially feasible, (iii) promptly refund all fees paid by Bloomberg pursuant to the non-conforming Deliverables. The Warranty Period shall be tolled during any period of any such re-performance, repair, replacement or modification, such that it shall be extended in duration for the length of any such period. Autonomy further warrants that the Services and the Deliverables provided shall be free of computer viruses and that any computer programs related to the Services and/or the Deliverables, as delivered by Vendor do not contain any virus or computer software code, routines or devices designed to disable, damage, impair, erase, deactivate, or electronically repossess the deliverables, programs, or other software or data. This SOW contains the full and complete understanding of the parties as to the subject matter hereof and may not be altered or modified, except by written amendment which expressly refers to this SOW and which is duly executed by an officer of Autonomy. If any purchase order made pursuant to this SOW contains any terms which are inconsistent with, or in addition to, this SOW, such inconsistent or additional purchase order terms shall be of no effect. 6. Payment Terms and Cancellation All payments are due within 30 days of invoice date. Autonomy will send time sheets and the corresponding invoices to Bloomberg on a bi-weekly basis. If you should need to cancel, please do so early. Canceling the engagement within 5 business days of the scheduled date, incurs a non-recoupable cancellation fee in the amount of 20% of the total estimate, or a maximum of $3,000, whichever is less and will be invoiced immediately if cancellation fees are applicable.
